1. Eligibility and Account Registration

You represent that you are authorized to access the Services on behalf of a business or organization. You are responsible for maintaining the confidentiality of account credentials and all activity under your account.

2. Permitted Use

You may use the Services solely for lawful business purposes in accordance with applicable law, these Terms, and any applicable Master Services Agreement or Order Form.

3. Prohibited Activities

You may not misuse the Services, including by attempting unauthorized access, reverse engineering, interfering with system integrity, or using the Services to violate applicable law or third-party rights.

4. Customer Data and Privacy

Use of the Services may involve processing of personal or business data. Data handling is governed by the Master Services Agreement, applicable Data Protection Addendum, and Privacy Policy.

5. Intellectual Property

All intellectual property rights in the Services are owned by Empera or its licensors. No rights are granted except as expressly stated in these Terms.

6. Suspension and Termination

Empera may suspend or terminate access to the Services for violations of these Terms, security risks, or non-payment, in accordance with applicable agreements.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EMPERA MAKES NO WARRANTIES REGARDING ACCURACY, AVAILABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPERA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

10. Changes to Terms

Empera may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
